The York County Board of Commissioners met according to law on Tuesday, May 12, 2015 at 8:30 a.m. as per notice in the York News Times on May 7, 2015, with Chairman Bill Bamesberger presiding, with Kurt Bulgrin, Randy Obermier, Paul Buller and Jack Sikes.  Also present at the meeting was Melanie Wilkinson, correspondent for the York News Times and Kelly Turner, County Clerk.

 

The agenda of the meeting was posted on the bulletin board in the County Clerk’s office and a copy of the agenda was made available to each Commissioner.

 

Bamesberger announced that the Open Meetings Act was posted outside the door along with copies in the back of the Board Room.  Proof of publication was also available.

 

Moved by Sikes, seconded by Bulgrin to approve the minutes of the April 28, 2015, roll call; yeas, Sikes, Bulgrin, Buller, Obermier and Bamesberger, nays none, motion carried.

At 9:30 a.m. as advertised on April 29, 2015, in the York News Times, Chairman Bamesberger declared a public hearing be held to hear support, opposition, suggestions, criticism or observation to discuss Relation to Revenue Bond in care of York General Hospital.  Those who spoke were Chuck Shultz, Parker Schenken and Blaine Spady.  At 9:39 The public hearing was closed.

                                                            BOARD OF COMMISSIONERS OF

                                                THE COUNTY OF YORK, NEBRASKA

 

            A regular meeting of the Board of Commissioners of The County of York, Nebraska, was convened in open and public session at 8:30 a.m. on May 12, 2015, in the County Commissioners Room at the County Courthouse, 510 N. Lincoln Ave, in York, Nebraska.  Present were: Bill Bamesberger, Jack Sikes, Randy Obermier, Kurt Bulgrin, and Paul Buller.  Absent were: none. Notice of the meeting was given in advance thereof by publication in the York News Times on April 29, 2015, the designated method for giving notice.  Notice of the meeting was also given in advance to the Chairperson and all members of the Board of Commissioners.  Availability of the agenda was communicated in the advanced notice and in the notice to the Chairperson and Board of Commissioners.  The Chairperson publicly stated at the beginning of the meeting to all in attendance that a current copy of the Nebraska Open Meetings Act was available for review and indicated the location of such copy in the room where the meeting was being held.  All proceedings hereafter shown were taken while the meeting was open to the attendance of the public.

            At 9:30 a.m., the Chairperson announced that it was time for the Commissioners to conduct a public hearing concerning the proposed issuance of Hospital Revenue and Refunding Bonds (York General Hospital Project), Series 2015, by Hospital Authority No. 1 of York County, Nebraska.  The Clerk stated that the special notice of hearing had been published in the York News times on April 29, 2015, and that an affidavit of such publication was on file in the Clerk’s office.  The Chairperson then opened the hearing.  The following persons appeared: Chuck Schulz, Parker Schenken and Blaine Spady.  After hearing all persons desiring to be heard, the Chairperson declared the hearing closed.

Commissioner Bamesberger then introduced a resolution as set forth below, Commissioner Obermier moved for the passage of such resolution which motion was seconded by Bulgrin.  The Chairperson stated that the question was: “Shall said resolution be adopted?”  Upon roll call vote the following voted “AYE”, Obermier, Bulgrin, Buller, Sikes and Bamesberger.  The Following voted “NAY”, none.  Whereupon the Chairperson declared said resolution adopted.  A true and correct copy of said resolution is as follows:

 

BE IT RESOLVED by the Board of Commissioners of The County of York, in the State of Nebraska, (the “County”) as follows:

 

 

            Section 1.  The Board of Commissioners hereby find and determines that the Hospital Authority No. 1 of York County, Nebraska (the “Authority”) is a hospital authority under Section 23-3579, R.R.S. Neb, as amended  (the “Act”), and the following are the Trustees and officers of the Authority:

Section 2.  The Board of Commissioners hereby finds and determines that special notice of public hearing has been published in the York News Times on April 29, 2015, and that a public hearing pursuant to said notice has been conducted by the Board of Commissioners on the proposal to issue revenue and refunding bonds by the Authority at the time and place as specified in said notice and all persons who appeared were given an opportunity to express their views for or against the proposal to issue said bonds to provide for the following (1) paying the costs of acquiring and constructing additions and improvements to and renovations of the hospital and health care facilities of York General Health Care Services, a nonprofit corporation organized under the laws of the State of Nebraska (the “Borrower”) and equipment for such additions, improvements and renovations, including but not limited to renovation and construction of approximately 20,000 square feet of rehabilitation services facilities and surgical suites (collectively, the “New Project”), (2) refunding the Authority’s outstanding Health Care Facilities Revenue Bonds (York General Hospital Project), Series 2010, date of original issuance-September 30, 2010, outstanding in the principal amount of $6,530,000, which were issued to finance the costs of additions and improvements (including construction of replacement wings) to the Borrower’s existing hospital facilities and equipment for such additions, improvements and existing facilities (including but not limited to expansion of patient rooms and specialty clinic, expansion and relocation of emergency room facilities, admissions, physical therapy department, surgery department and dietary facilities; hereinafter collectively the “prior Project”; the New Project and Prior Project are collectively referred to as the (“Project”) and (3) funding of reserves and issuance costs as and to the extent determined appropriate, and all objection or other comments relating to the issuance of such bonds have been heard, and the Board of Commissioners hereby finds and determines: (i) that a general, functional description of the Project has been described in said notice of hearing and is hereby approved; (ii)that the maximum principal amount of the revenue and refunding bonds has been described in said notice of hearing and is hereby approved;(iii) that the location of the Project has been described in said notice of hearing and is hereby approved;(iv) that the initial owner, operator or manager of the Project has been described in said notice of hearing and is hereby approved.

            Section 3. As hereby approved, the authority shall issue in an amount not to exceed $9,000,000, Hospital Revenue and refunding Bonds (York General Hospital Project), Series 2015 (the “Bonds”), in one or more series, upon such terms and conditions as determined by the Authority and the Borrower.

            Section 4.  The County acknowledges that the Authority expects to designate said Bonds as its “qualified tax-exempt obligations” pursuant to Section 265(b)(3)(B)(i)(III) of the Internal revenue Code, as amended  (the “Code”) as and to the extent not determined to be “deemed designated” under Section 265(b)(3)(D) of the Code and covenants and warrants that the County (together with all subordinate issuers) does not expect to issue tax-exempt obligations in an aggregate amount in excess of $10,000,000 during calendar 2015, taking into account statutory exceptions for current refunding issues.

            Section 5. The approval provided for in this resolution is for purposes of Section 147(f) of the Code and is not intended nor should it be construed to be any review of or approval by the County of the credit of the Borrower, nor any type of guaranty or other pecuniary commitment by the County with respect to repayment of the Bonds.  The Authority is a separate corporate body from the County, and the Bonds and other obligations of the Authority shall not be a debt of the County or of any county, city or village in which the Authority is located or of the State of Nebraska (the “State”), and neither the State nor any such county, city or village shall be liable thereon, nor in any event shall they be payable out of any funds or properties other than those of the Authority, and such Bonds and obligations shall so state on their face.  The Bonds shall not constitute indebtedness within the meaning of any constitutional or statutory debt limitation of the laws of this State.

            Section 6. The Chairman and County Clerk (or either one of them) acting for and on behalf of the County are hereby authorized to execute and deliver any further documents deemed by them necessary or appropriate for or on behalf of the County to reflect the approval of the issuance of said Bonds.

At 10:07 a.m. as advertise on April 28, 2015, in the York News Times,  Chairman Bamesberger declared a public hearing be held to hear support, opposition, suggestions, criticism or observation to discuss, updating Zoning Regulations, including proposed changes to the Airport Hazard Overlay District and the Rural Commercial/Industrial District, Subdivision Regulations and update Comprehensive Plan. Benjamin Dennis, Zoning Administrator and Orval Stahr spoke on the matter.

 

            No one was present from the public to speak to the matter; therefore, the public hearing was closed at 10:19 a.m.

 

Moved by Bulgrin, seconded by Obermier to accept the resignation letter from Don Sandman, Veterans Service Officer, roll call; yeas, Bulgrin, Obermier, Sikes and Bamesberger, nays none, Buller abstained, motion carried.

 

Moved by Bulgrin, seconded by Sikes to accept the recommendation from the Veterans Service Board to hire Nick Wollenburg to be the York County Veterans Service Officer, roll call; yeas, Bulgrin, Sikes, Obermier, Buller and Bamesberger, nays none motion carried.
